Currently the representative office has one chief representative and one deputy representative.
The chief representative usually has business trips, so he made a Power of Attorney for the deputy representative to sign all the documents (contract, tax report, levy, etc.) related to the administrative management of the office.
Question:
1. If the chief representative wants to authorize for one more person, can he do that?
-> Yes, he can.
2. Can the authorized person who is only an expert (not a deputy representative) be accepted?
-> The authorized person can be anyone even he is a deputy representative or not.
3. According to Vietnamese law, how many people can be the representative at the representative office? Are there any remarks of making the authorization?
The authorization only needs to comply with the following provisions:
1. This authorization must be approved by the foreign trader. To meet this request, there two ways as follows:
(i) In the Power of Attorney made by the head of the foreign trader (the parent company) authorized the chief representative, there is the content: allowing the chief representative to authorize again; or
(ii) In the Power of Attorney made by the chief representative authorized other person, there is an assent of the head of foreigner trader.
2. The chief representative of representative office or branch still has responsibility for exercising the authorized rights and obligations.
